1. Acceptance of These Terms

These Terms of Service govern access to and use of HealthLab, a Graysect supplement-routine workspace. By creating an account, requesting access, accepting these Terms or any required policy notice, clicking an agreement checkbox, accessing HealthLab, or using HealthLab, you agree to these Terms, the Privacy Policy, the Accessibility Statement, and any posted product policies that apply to your account.

Graysect is a United States-based and United States-owned company. HealthLab is operated by Graysect as a direct-to-consumer supplement-routine workspace.

Agreement to these Terms is a condition of becoming or remaining a HealthLab customer, member, tester, invitee, or user. If you do not agree, do not create an account, request access, submit data, or use HealthLab. Graysect may deny, suspend, or terminate access if you do not agree or if you later revoke required agreement.

Some rights cannot legally be waived in advance. Nothing in these Terms is intended to waive non-waivable rights, but every waiver, release, limitation, arbitration requirement, notice requirement, and remedy limit in these Terms applies to the maximum extent permitted by law.

2. Eligibility

You must be at least 18 years old to create or use a HealthLab account. HealthLab is not intended for children or minors.

3. Product Scope

HealthLab helps members organize over-the-counter supplement routines. It can show serving timing, time-on and time-off cycles, reminders, review prompts, and educational information about sources and uncertainty.

HealthLab is not a medical provider, telehealth service, clinical decision-support tool, prescription-management product, lab-interpretation product, or service operating on behalf of a HIPAA covered entity.

HealthLab is consumer software. Covered entities, clinicians, and other regulated healthcare organizations must not use HealthLab as a patient-management workflow or on behalf of patients unless Graysect separately enters the proper agreements.

4. Educational Use Only

HealthLab is for educational planning and supplement-routine organization. It does not provide medical advice, diagnosis, treatment, prescribing, emergency care, medication interaction management, or lab interpretation. It is not a substitute for clinical judgment, urgent care, prescription decisions, medication changes, or individualized medical supervision. Do not submit diagnoses, treatment plans, lab values, acute symptoms, medication lists, pregnancy or lactation status, or detailed medical history.

Review supplement decisions with a qualified professional if you have a medical condition, are pregnant or breastfeeding, take prescription medications, or are unsure whether a supplement is appropriate for you.

5. Emergency and Medical Care

The educational-use boundary in Section 4 applies to emergencies and urgent health questions. If you believe you may have a medical emergency, call emergency services or contact a qualified medical professional immediately.

Do not delay medical care because of information shown in HealthLab.

6. Member Responsibilities

You are responsible for entering accurate routine information, reviewing outputs carefully, and deciding whether and how to use any information HealthLab provides.

You agree to use HealthLab within the educational-use boundary in Section 4.

7. Account Use and Access

You are responsible for maintaining the confidentiality of your account credentials and for activity that occurs under your account.

You may not impersonate another person, access another member's account or data without authorization, bypass access controls, interfere with service availability, reverse engineer protected service behavior, submit malicious code, or use HealthLab for unlawful, fraudulent, or abusive purposes.

8. Source Data, Automation, and Accuracy Limits

HealthLab may use AI-assisted tools to process supplement information and support product features. Their outputs are proposals and may be incomplete, outdated, or incorrectly matched.

Review displayed sources and uncertainty before using an AI-assisted output. AI-assisted processing does not create a member decision or change the member's active routine.

Review the sources and uncertainty shown with any AI-assisted feature before using its output. Human review, when provided, follows the relevant product workflow.

Outputs may be incomplete, outdated, incorrectly matched, or limited by missing label detail. Confidence labels, review states, timing views, and routine summaries remain subject to the educational-use boundary in Section 4.

9. Data You Submit

HealthLab uses the routine profile, timing anchors, preferences, stack information, check-ins, consent records, and related workflow data you provide to generate schedules, cycle reminders, educational dashboard views, and saved run history.

HealthLab member workflows are not intended to collect the clinical information excluded in Section 4. Do not submit it unless HealthLab later provides an explicit, reviewed workflow for that category.

HealthLab may process wellness, routine, supplement, preference, and behavioral context data that could be considered consumer health data or sensitive personal information under some privacy laws. Graysect handles that data under the Privacy Policy and any applicable consumer health data notices.

10. Member Access and Entitlements

The HealthLab member release is not authorized. New member access requests and account creation are not accepted, and HealthLab does not currently offer paid access or collect payment information.

When member access is authorized, launch-free access will use normal member authentication plus a free HealthLab entitlement tied to the registered account.

A HealthLab entitlement is tied to the registered account, is not transferable, and may not be sold, shared, assigned, or exchanged.

Access remains subject to these Terms. Graysect may suspend, restrict, or remove access if an account violates these Terms, abuses the service, attempts unauthorized access, misuses data, submits malicious code, engages in fraudulent or unlawful activity, or otherwise creates security, legal, or operational risk for Graysect or other members.

11. Product Changes and Availability

Graysect may update, suspend, limit, or retire HealthLab features as the product evolves. Member product screens, exports, integrations, or workflow features may remain unavailable until the HealthLab member release is authorized. Privacy, account, and data rights are handled under the Privacy Policy.

We try to keep HealthLab available, but we do not guarantee uninterrupted, error-free, or permanently available service.

12. Intellectual Property and Feedback

HealthLab, Graysect, product designs, software, text, workflows, and other service materials are owned by Graysect or its licensors and are protected by applicable intellectual-property laws.

If you provide feedback, suggestions, bug reports, or product ideas, you grant Graysect permission to use them without restriction or compensation, while your personal data remains handled under the Privacy Policy.

13. Accessibility Notice and Opportunity to Resolve

HealthLab targets WCAG 2.2 Level AA for its core web experience. If you encounter a barrier, contact support@graysect.com with the page, what you were trying to do, your device or browser, and what prevented access.

Within 3 business days of receiving enough detail, Graysect will start review, offer a practical workaround where available, or begin remediation. Complex, third-party, security-sensitive, or release-dependent fixes may take longer, but Graysect will work in good faith to improve access.

To the maximum extent permitted by law, you agree to give Graysect notice and a reasonable opportunity to resolve an accessibility concern before demanding money, filing a complaint, initiating arbitration, filing suit, or seeking attorney fees. Graysect's ability to fix an issue depends on receiving specific, actionable notice.

14. Disclaimers and Limitation of Liability

HealthLab is provided on an as-is and as-available basis. To the maximum extent permitted by law, Graysect disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.

To the maximum extent permitted by law, Graysect is not responsible for clinical outcomes, delayed care, medication errors, adverse reactions, injuries, accessibility barriers Graysect was not given a reasonable opportunity to address, lost data, lost profits, business interruption, reputational harm, indirect damages, consequential damages, special damages, punitive damages, or losses resulting from reliance on HealthLab as though it were individualized medical advice.

To the maximum extent permitted by law, Graysect's total liability for all claims arising out of or relating to HealthLab, these Terms, the Privacy Policy, the Accessibility Statement, account access, entitlements, product availability, or any related interaction is limited to the greater of the amount you paid Graysect for HealthLab during the 3 months before the event giving rise to the claim or 100 dollars. This cap does not apply to claims that cannot legally be limited.

You agree that HealthLab would not be offered on its current terms without these warranty disclaimers, liability limits, dispute terms, and class-action waiver.

15. Indemnity

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Graysect and its owners, officers, employees, contractors, service providers, licensors, and affiliates from claims, losses, liabilities, damages, penalties, costs, and expenses, including reasonable attorney fees, arising from your misuse of HealthLab, violation of these Terms, unlawful conduct, unauthorized access, infringement of another person's rights, or information you submit to HealthLab.

Graysect may control the defense of any indemnified claim. You agree to cooperate with that defense and not settle any claim in a way that imposes obligations on Graysect without Graysect's written consent.

16. Mandatory Informal Resolution

Before either party starts arbitration, litigation, an agency complaint, or any other formal proceeding, the party raising the issue must send written notice to support@graysect.com and give the other party a reasonable opportunity to resolve it informally. The notice must describe the claimant, account email if applicable, the facts, requested relief, and enough detail for Graysect to investigate.

For accessibility concerns, the Accessibility Notice and Opportunity to Resolve section also applies. For privacy concerns, the Privacy Policy request process also applies. If a law requires a shorter deadline or prohibits a notice-and-cure requirement for a specific claim, this section applies only to the extent permitted by that law.

17. Binding Individual Arbitration and Class Waiver

Except for claims that qualify for small-claims court, requests for temporary or preliminary injunctive relief, intellectual-property misuse, security abuse, unauthorized access, or claims that cannot legally be arbitrated, you and Graysect agree that any dispute, claim, or controversy arising out of or relating to HealthLab, these Terms, the Privacy Policy, the Accessibility Statement, account access, entitlements, product availability, or any related interaction will be resolved by binding individual arbitration instead of in court.

The arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules unless the parties agree to another provider or process. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. The arbitrator may award only the relief that a court could award to the individual claimant and only as needed to resolve that claimant's individual claim.

You and Graysect waive the right to a jury trial and waive the right to participate in a class action, class arbitration, private attorney general action, mass action, consolidated action, or representative action to the maximum extent permitted by law. Claims must be brought only in an individual capacity and not on behalf of any other person or class.

If any part of this arbitration or class-waiver section is found unenforceable as to a particular claim or remedy, the unenforceable part will be severed only as necessary, and the rest will remain in effect to the maximum extent permitted by law.

18. Governing Law, Venue, and Claim Deadline

These Terms are governed by the laws of Colorado, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs the arbitration agreement.

For any claim that is not subject to arbitration, the exclusive venue and jurisdiction will be the state or federal courts located in Colorado, and both parties consent to that venue and jurisdiction.

To the maximum extent permitted by law, any claim arising out of or relating to HealthLab must be started within 1 year after the claim accrues, or it is permanently barred.

19. Updates and Contact

Graysect may update these Terms as HealthLab changes. Continued use after a posted update means you accept the version then in force.
